(a) Choice and fees. (i) Fees for the Services are set forth on Ally`s pricing page (“Pricing Page”) or on a completed purchase order or work statement between you and Ally, each of which is incorporated into this Agreement and forms part of this Agreement, unless separately agreed between you and Ally. Fees for the Services may be due in advance, retrospectively, per user, or as otherwise described on the Pricing page or on any executed order form or service description between you and us. You agree to pay Ally the fees specified for the Services you have purchased and for the specified term (“Subscription Term”), as well as any other fees specified on any purchase order or declaration of work performed between you and us. The fees shown do not include related taxes (including sales and use taxes, duties or other taxes or government fees), all of which are your responsibility and will be charged in addition to your payment method fees (defined below). By purchasing Services, you represent that these Services will only be used lawfully. (ii) The subscription-based Services fees will be charged to you or your payment method on the effective date of your List Selection and will cover the costs of selecting your List for the specified payment period. Fees for other services are calculated based on the pricing page, order form, or service description. At the end of the Subscription Period specified for the Subscription-Based Services, and unless otherwise specified in the applicable Purchase Order or SOW, your right to access and use the purchased Services will be terminated immediately, the applicable fees will no longer be charged or charged to your payment method on a recurring basis.
and this Agreement will automatically terminate. (iii) You may upgrade, downgrade or cancel your Subscription Service Plan at any time. Plan downgrades and cancellations will only take effect at the end of your current period and must be made at least 30 days before the start of the next subscription renewal period. Service upgrades will take effect immediately and you will be charged a pro-rated fee for the remainder of your current subscription period based on the price difference between your current plan and the updated plan. (b) Method of Payment. Ally may offer various expedited payment methods from time to time, including payment by credit card, debit card or direct debit, and you may be asked to provide certain relevant information such as your credit or debit card number, expiration date and billing address. By submitting this information, you grant us the right to share this information with third parties to facilitate the purchase of services. Verification of information may be required before confirming or completing a purchase. If you select such a payment method when purchasing the Services or specify such payment method on a purchase order or service description (the “Payment Method”), you authorize Ally to charge you for the Services through that payment method and agree to make payment using that payment method and to keep your payment information up to date. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT TO USE ANY CREDIT CARD THAT YOU SPECIFY AS A METHOD OF PAYMENT. Certain payment methods, such as credit cards and debit cards, may include agreements between you and the financial institution, credit card issuer or other provider of the payment methods you choose (the “Payment Method Provider”).
If Ally does not receive payment from your payment provider, you agree to pay all amounts due directly at Ally`s request. Your failure to terminate or continue to use the Services confirms that Ally is entitled to charge your payment method. (c) Payment issues. If your payment method fails or your account is late, Ally reserves the right to suspend or terminate your use of the Services. If Ally has agreed to issue invoices to you, payment of all invoices is due within 14 days of receipt of the invoice. You agree to submit to Ally in writing any dispute relating to the fees charged to you within 14 days of receipt of the invoice and any dispute relating to the fees charged to your payment method within 60 days of such fees, otherwise such disputes will be voided and such invoices and fees will be final and cannot be contested. Ally reserves the right to charge you interest at a rate of 1.5% per month on overdue amounts or the maximum rate permitted by applicable law, whichever is lower. You will also reimburse all reasonable costs and expenses (including reasonable attorneys` fees) incurred by Ally to recover undisputed amounts that are not paid by the due date. All fees and costs are non-refundable and there will be no refunds or credits for partially used Services except (i) as expressly set forth in this Agreement, the pricing page or any completed order form or declaration of work between you and us; (ii) as otherwise required by applicable law; or (iii) in our sole and absolute discretion.
All fees for services are subject to change without notice; However, Ally will use reasonable efforts to notify you at least 30 days prior to any fee increase, and fee changes will not take effect until before your next renewal. 7 for your individual use of Bill Pay. Each authorized account holder has the same right to access bill payment services, .B. notify online customer service of the loss or suspected fraud or cancellation of Bill Pay, etc. Each authorized account holder must register individually with Bill Pay and, where applicable, has a separate list of beneficiaries and payment history. Using Bill Pay How Bill Pay works: Payments can be scheduled at any time, as a single transaction up to a year in advance, as recurring transactions or as payments paid automatically upon receipt of an electronic invoice. The date you enter for payment is the expected delivery date when Ally Bank attempts to deliver the payment to the payee. Your Bill Pay compatible account must be in good condition by the expected delivery date you select.
Payments are triggered before the scheduled delivery date you select. Payments delivered electronically are triggered one business day before the scheduled delivery date; Payments delivered by paper cheque will be triggered 4 working days before the scheduled delivery date. You may not select a date as the expected delivery date of your payment unless it allows sufficient business days after the payment is triggered, as set out above. Payments entered after 7:30 p.m. .m. Eastern Time will not begin until the next business day at the earliest. We strive to deliver your payment on the scheduled delivery date, but payments to some payees may take longer. To ensure timely payment, you must select an expected delivery date that is no later than the due date indicated on your invoice or bank statement.
For payments that are essential to you, we recommend that you select a scheduled delivery date at least four (4) business days before the invoice due date. You must select a scheduled delivery date using the due date of the invoice or electronic invoice and not the last day of a grace period set by the beneficiary. The payment amount will be debited or debited from the invoice credit account you specify on the expected delivery date you specify. If the expected delivery date falls on a day unrelated to the company, the expected delivery date is the previous business day. If you do not expect payment by the due date of your invoice, or if your account eligible for bill payment is not in good condition, you are fully responsible for any late fees, interest charges or other actions taken by the beneficiary. .
